My first thoughts after, were that it seems weak, and especially for a theme. Not because your composition skills are bad, its just a sheer lack of voices. The double-hits from the bass are really awkward (0:16, 0:33, others too), it might be because you're using a slap-bass voice while those quick notes would be naturally be hammered or plucked, though I'm not 100% certain. It might be nice to hear some more range in this song as far as pitch, there's next to no treble other than the 'wah-ing' . It certainly has a catchy feel to it but eventually it just drones into that one A minor note/chord.
I don't know exactly what you mean by the "Theme" but this doesn't feel very theme-like to me. It might make a title screen for an action-intensive game with guns or be the character song for an erratic and funky minor role. I think that's a stylistic preference though, because I think I said the same thing about your other themes from an earlier post.

I like it. Its funky and has got a groove to it(except for those few quickly plucked notes on the slap bass). Using it as a theme for a game, I don't know, unless your game is like Leisure Suit Larry. It sounds to me more like a zany character's theme or a hustlin' city theme.
