Hmmm..... I can't quite put my finger on it, but your shadows don't look very consistent. They look kinda blotchy, maybe? When cel shading, try only three or four of the same color. It looks like you have many.

On another note, to make him look more like theif03, try pulling the hood to the sides of his head about a pixel or 2 and point the top.

That's all my advice. BTW I want to see the finished version of your first sprite. That girl rocked.
 
Shading isn't that hard once you get the basics down. I'd suggest picking up the gRTP template and taking a shot at cell-shading with it. It's simple, uses only 3 colors and really gives you an idea of how to do your shadows right.

The other suggestion I have is to check out the pixel art websites, and look for tutorials. This is a great example for the basics. The author is even using Graphics Gale, which you can get for free.

Now, as for the criticism of your sprite ... Really, the shading is just too random and more complicated than it needs to be. What you ended up is with a great texture, but in something completely wrong - i.e. just a simple piece of flat cloth. That kind of texture might look really good on a rock, though, so perhaps you can experiment on other objects.

Your lineart is a little stiff, particularly on the gloves and the cape. You can actually make that cape a thinner material and give it a lot more movement. It can have more folds, tattered edges etc. The reason why the cape looks the way it does in the RTP is because it's really tough to add details on a sprite of such a smaller scale. But don't be afraid to add more details to the half-Kaiser :)

It's a really nice try, overall. Just keep practicing :)

Shading looks much better in the revised version.

I think the problem is the shoulders. I think they need to be a little less sloped down. More straight across. I'd shorten the tunic too a little bit so it's above the knee instead of below it if you're trying to match up with the original sprite. The long tunic works, but on the original, it stops above the knee.
 
Its far to watercolour for an HK sprite. Study the shading in some other HKs, by showkaizer and tana. I might throw together an example later.
 
As said above it looks as if its a mesh between a water color paining and pixel art. The actual character does not seam very pixelated, in either attempt.
